Welcome to “Proven and Probable, where we focus on metals, mining, and more. I’m your host Maurice Jackson.

Today we will discuss a company that has established itself as a premiere project generator. I’m speaking of Millrock Resources, trading on the TSXV symbol MRO and on the OTCQX symbol MLRKF. Joining us for conversation is Gregory Beischer. He is the President, CEO, and Director of Millrock Resources.

Gregory, you have some important information for shareholders from the latest press release entitled “Millrock Reports Potential Business Transaction Concerning Its Exploration Projects in the Golden Triangle District British Columbia.” What can you tell us about this business transaction?

Mr. Beischer:

Well, it is an agreement that we made with the Sojourn Exploration. You’ll recall, Maurice, that earlier in 2017 we vended the two of our Golden Triangle British Columbia properties to Sojourn, and we kept one of them back, the Todd Creek Project, with the idea that Millrock would help find management for Sojourn that could really execute on our business model. Very fortunately, we combined with a group called Seven Devils Exploration who brought to us several of their own projects, which they vended into Sojourn. We’ve now put in Todd Creek, so we’ve got three projects in this new company.

This is an all-star cast of technical geologists and management team that have every intention of following the same business model Millrock does. I think there’s simply not a better team for Northwest British Columbia, and I think these fellows that will be running Sojourn are going to make a lot of money for their shareholders. Millrock is going to be a major shareholder of Sojourn, so our shareholders will benefit too.

Maurice Jackson:

Gregory, this is another demonstration of Millrock’s commitment to increasing shareholder value. Can you share with us, does this transaction, if it comes to fruition, is there a royalty involved?

Mr. Beischer:

Certainly. Millrock always likes to retain royalties on properties, and we certainly will on the three projects that vended into Sojourn.

Maurice Jackson:

How long will it take for us to find out if we have a deal?

Mr. Beischer:

The closing of the transaction is contingent upon the new Sojourn management raising a minimum of $2.5 million. I don’t think that they’re going to have any trouble to do that, and once they do, then we’ll close the transaction. I suspect it will take 30 to 40 days from now. It sure couldn’t hurt any listeners, and yourself too Maurice, to pick up a few shares of Sojourn now on the open market. The price is only around 17 cents per share, and it would be good just to create a small position right now.

Maurice Jackson:

Mr. Beischer, by chance do you have the symbol for us as well?

Mr. Beischer:

Yes, of course. It’s on the TSX Venture Exchange, and it’s SOJ.

Maurice Jackson:

That is S-O-J for our listeners. Switching gears, Mr. Beischer, before we close, please share with us what keeps you up at night that we don’t know about.

Mr. Beischer:

Well, I see a very busy year ahead for Millrock. We’ve got four partners funding five different projects right now. Based on the inquiries we’ve had so far in 2018, I’m pretty darn sure we’re going to have more funding partners. That’s a lot of exploration to keep on top of. Look, we have to always do the best exploration work we can. We strive for excellence, but that takes quality people. We’ve got a great team right now, but I can already see that it’s going to be difficult to hire more quality people. We don’t want to overextend ourselves, so that’s one thing that I’m always considering as I plot forward the path for Millrock.

Maurice Jackson:

Finally, what did I forget to ask?

Mr. Beischer:

Well, you might ask about the Prospectors and Developers Association Conference that is coming up in a couple of weeks in Toronto. Probably the biggest mining conference in the world. One that Millrock always attends because we have our current and existing joint venture partners as well as potential future joint venture partners almost always attend this conference. We like to meet to update and plan exploration with our existing partners and try to make new agreements with new funding partners, so we’ll be there in force. There’ll be several people from Millrock, and we’ve already started to lay out our meetings. It’s just a great time to connect with our shareholders as well.

In fact, Maurice, just to continue, along with Sojourn and another business partner of Millrock, PolarX, we’re putting together a small hospitality suite for Sunday evening of the conference on March 3rd. We’ll look forward to greeting shareholders, potential shareholders, and potential business partners at this suite.

Maurice Jackson:
